Grace Suite Terms of Service

By accessing or using any Grace Suite product, including Grace Companion, Grace Notes and Grace Care Facilities (together, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.

These terms constitute a legally binding agreement between you ("User", "you" or "your") and the operators of the Grace Suite products ("we", "us" or "our"), each of which is operated in the United Kingdom.

You must meet the following requirements to use the Service:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and truthful information during registration
• Maintain the security of your account credentials

Next of Kin Registration

If you are registering on behalf of another person (the "Loved one"), you affirm that:

• You have legal authority to make decisions on their behalf
• You have obtained necessary consent where the loved one has capacity
• You will act in the best interests of the loved one
• All information provided is accurate and truthful

Grace Suite products provide, among other things:

• AI-powered conversational companionship
• Personalised reminders for medication, appointments and daily activities
• Voice-based interactions using text-to-speech technology
• Family notification system for help requests
• Grace Check-In summaries that bring together existing reminders, messages, wellness prompts, visitor updates and safety context for authorised users
• Behaviour tracking and wellness monitoring

By way of illustration, Grace Companion is designed for individuals and families, Grace Notes supports independent care professionals with visit notes and compliance records, and Grace Care Facilities supports organisations with resident records, care planning and staff task management.

Grace Check-In and similar summary features are designed to help users and authorised family notice relevant information. They are not clinical assessments, safeguarding decisions, emergency dispatch tools, or a guarantee that every risk or event will be detected.

Grace Companion may provide safety location features such as emergency location sharing, Share Now, Share While Out, safe places, Family Safety Map, trusted visitor location updates, and Grace Notes GPS check-ins where available.

• You must have consent, legal authority, or a genuine best-interests safety reason before enabling or viewing location sharing for another person.
• For children, location features must be enabled only by a parent, guardian, or authorised responsible adult with the right to act for the child.
• Location sharing must not be used for covert tracking, stalking, coercion, harassment, or monitoring someone without proper authority.
• GPS and browser location may be inaccurate, delayed, unavailable, or affected by device settings, battery saving, signal, and network coverage.
• The web app/PWA works best while open and active. Continuous background GPS is not guaranteed when the phone is locked, the app is closed, or the browser suspends updates.
• Grace Companion is not an emergency service. In an immediate emergency, call 999 or the relevant local emergency number.

You agree to:

• Use the Service lawfully and in accordance with these Terms
• Provide accurate, current, and complete information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorised access
• Not misuse or attempt to hack or disrupt the Service
• Not use the Service for any illegal or unauthorised purpose
• Not impersonate others or provide false information
• Use location sharing only for lawful safety, care, or family reassurance purposes

You must not:

• Use the Service as a substitute for professional medical advice
• Rely on the Service in emergency situations
• Share your account with unauthorised persons
• Attempt to reverse engineer or extract AI models
• Collect data about other users
• Track, locate, or monitor another person without the necessary consent, authority, or safeguarding reason
• Upload malicious code or spam
• Harass, abuse, or harm others through the Service
• Violate any applicable laws or regulations

All Grace Suite branding, user interface designs, written copy, proprietary software code and platform-specific features are owned by or licensed to us and protected by copyright, trade mark and other intellectual property laws.

We integrate third-party AI services (including, for example, OpenAI and ElevenLabs) under licence from their respective owners. Their models and related intellectual property remain the property of those providers, and your use of Grace Suite products does not grant any ownership or additional rights in those third-party technologies.

Your Content

You retain ownership of voice recordings and personal data you provide. By using the Service, you grant us a limited licence to process this data solely for providing and improving the Service.

When you provide voice samples for cloning:

• You grant us permission to create synthetic versions of the recorded voice
• Voice clones will only be used for reminders within your account
• You affirm you have the right to provide the voice sample
• Voice data will not be shared or used for other purposes

Reminder wording may be translated into the selected Grace language and spoken using either Grace's reminder voice or an authorised cloned family voice where your plan includes that feature.

AI-generated responses and translations are created in real-time and may not always be accurate. You should review sensitive reminder wording, especially medication names, doses, appointment details, addresses, and safety instructions.

Grace Suite products may offer free and paid subscription tiers. Pricing will be clearly displayed before purchase. Payment terms include:

• Subscriptions automatically renew unless cancelled
• Refunds are provided in accordance with UK consumer rights
• Prices may change with 30 days' notice
• Payment information is processed securely by third-party providers

Where a plan includes a generous or fair-use Talk to Me allowance, this is for normal personal, family, care, or professional use. It does not permit automated, excessive, abusive, resale, scraping, or continuous high-volume use that creates unreasonable load or cost.

We may apply proportionate fair-use safeguards, such as brief cooldowns, usage warnings, wellbeing pauses, temporary text-only voice breaks, or support review, if use is unusually heavy or appears automated. These safeguards are intended to protect service reliability and do not affect emergency guidance to contact local emergency services.

We strive to provide reliable service but cannot guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance
• Technical difficulties
• Factors beyond our control

We are not liable for any damages resulting from Service unavailability.

TO THE FULLEST EXTENT PERMITTED BY LAW:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• We are not responsible for medical outcomes or emergencies
• We are not responsible for decisions made solely from AI summaries, Grace Check-In prompts, or automated wellbeing signals without appropriate human judgement
• We are not responsible for GPS inaccuracy, unavailable device location, or delays caused by phone, browser, network, or operating system restrictions
• Our total liability shall not exceed the fees paid by you in the last 12 months
• We are not liable for third-party actions or content

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

You agree to indemnify and hold harmless the operators of the Grace Suite products from any claims, damages, losses or expenses arising from:

• Your breach of these Terms
• Your violation of any law or regulation
• Your infringement of third-party rights
• Unauthorised use of your account

We may suspend or terminate your access to the Service:

• For breach of these Terms
• For fraudulent or illegal activity
• If required by law
• At our discretion with or without notice

You may terminate your account at any time through settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage resolving disputes informally by contacting us first. If unsuccessful, you may pursue alternative dispute resolution or legal action.

We process personal data as a data processor on your behalf. All primary user data is stored within the European Union (Ireland) using Supabase’s EU region. We maintain full data residency within the EU/EEA.

Grace is designed for global use, but certain features may be restricted, require extra consent, or require local review depending on your country or region. This is especially important for precise GPS, child safety, voice cloning, AI conversation features, and international transfers.

We do not transfer or store personal data outside the EU/EEA except as strictly necessary for AI processing via OpenAI’s API. Such transfers are covered by Standard Contractual Clauses and technical supplementary measures as documented in our Data Protection Impact Assessment.

Our sub-processor register includes Supabase (EU), Vercel (EU), and OpenAI (US with SCCs). We will notify you of any new sub-processors or changes to data locations at least 30 days in advance.

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

The Grace Companion website, applications, and associated code, designs, and content are proprietary works. No portion of the codebase, design system, written copy, or media assets may be copied, reproduced, modified, published, distributed, or used to create derivative works without prior written consent from the owner.

Third-party libraries and assets remain governed by their respective licences; those licences do not grant any rights to Grace Companion’s proprietary materials.
